KOSH Referral Program

These KOSH Referral Program Terms and Conditions ("Referral Terms") govern Your participation in the KOSH Referral Program (the "Program") operated by Piers Technology Inc. ("KOSH," "we," "us," or "our"). The Program lets eligible KOSH users ("Inviters") invite other persons or entities ("Invitees") to register for and use the KOSH application and services (the "Services"), and to earn rewards subject to these Referral Terms.

By participating in the Program — by sharing a referral link or code, by registering through one, or by accruing any reward — You agree to be bound by these Referral Terms in addition to the KOSH Terms of Service, KOSH Privacy Policy, and any other terms expressly incorporated by reference (together, the "KOSH Agreements"). If You do not agree, do not participate.

1. Definitions

Capitalized terms not defined here have the meaning given to them in the KOSH Terms of Service.

→"Inviter" means an eligible KOSH user who shares a Referral Code or Referral Link to invite an Invitee to the Services.

→"Invitee" means a person or entity who registers for the Services using an Inviter's Referral Code or Referral Link.

→"KoshCash" means the non-transferable, account-bound loyalty reward unit issued by KOSH and credited to a recipient's Account in accordance with these Referral Terms. KoshCash is an internal program unit recorded in KOSH's records. KoshCash is not a currency, security, commodity, e-money, stored value, deposit, financial instrument, payment instrument, or means of payment to any third party; carries no fixed exchange rate against any fiat currency, cryptocurrency, or other asset; is not issued on or recorded on any public blockchain or distributed ledger; and has no monetary value or claim against KOSH, except as expressly provided in these Referral Terms or the KOSH Agreements.

→"Qualifying Transaction" means an Invitee's first eligible transaction on the Services after completing identity verification ("KYC"), being one of (a) an outbound transfer from a Virtual Bank Account, (b) a card payment, or (c) an off-ramp transaction, in each case meeting the minimum thresholds, currency, and operational eligibility criteria published by KOSH from time to time.

→"Referral Code" means an alphanumeric identifier issued by KOSH to an Inviter for the purpose of attributing referrals; "Referral Link" means a URL carrying that identifier as a parameter.

→"Reward" means an amount of KoshCash credited to an Inviter or Invitee in accordance with Section 4.

→"You" or "Your" means the individual or entity participating in the Program, whether as an Inviter, an Invitee, or both.

2. Eligibility

→Inviter eligibility. To participate as an Inviter, You must (a) hold a personal Account in good standing, (b) have completed KYC to KOSH's satisfaction, (c) be at least eighteen (18) years of age or the age of majority in Your jurisdiction (whichever is greater), and (d) be a legal resident of a jurisdiction in which the Program is offered. Business or other non-personal accounts are not eligible to participate as Inviters.

→Invitee eligibility. To register as an Invitee, the Invitee must (a) be eligible to open and hold an Account under the KOSH Agreements, (b) not previously have registered for the Services under any other Account, and (c) be a legal resident of a jurisdiction in which the Services are offered.

→Excluded persons. The following are not eligible to earn Rewards: (a) employees, contractors, officers, or directors of KOSH or its affiliates, and members of their immediate households; (b) persons resident in or accessing the Services from any jurisdiction subject to comprehensive sanctions administered by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, the United Kingdom, or other competent authority (the "Restricted Jurisdictions"); (c) any person on a sanctions, terrorist-financing, or politically-exposed-persons watchlist; (d) any person whose Account has been suspended, frozen, or closed for breach of the KOSH Agreements; and (e) any person whom KOSH determines, in its sole and reasonable discretion, has engaged in fraud, abuse, or any activity contrary to the spirit of the Program.

→Self-referrals prohibited. An Inviter may not refer themselves, an Account they control, a household member's Account where the Inviter materially controls registration or transactions, or any Account maintained for the purpose of inflating Rewards. KOSH may treat Accounts sharing a device fingerprint, biometric identifier, residential address, IP address, payment instrument, source of funds, beneficial owner, or other indicator of common control as related Accounts for the purposes of this Section 2.4.

→No agency. No Inviter is an agent, employee, partner, joint venturer, or representative of KOSH, and Inviters must not represent themselves as such.

3. Participation and Referral Mechanics

→Issuance. KOSH will issue each eligible Inviter a Referral Code and Referral Link upon completion of KYC. Codes and links are personal to the Inviter and are non-transferable.

→Sharing. Inviters may share their Referral Code or Referral Link with persons who they reasonably believe may be interested in the Services and who have given any consent required under applicable law to receive such communications. Inviters must not (a) post Referral Codes or Referral Links on websites or platforms whose terms prohibit such posting, (b) use any paid advertising channels (including search ads, social ads, or affiliate networks) to promote the Program except where expressly authorized in writing by KOSH, (c) bid on or use KOSH's trademarks, brand names, or close variants in paid search, (d) impersonate KOSH or any other person, (e) make false, misleading, or deceptive statements about the Services or the Program, or (f) send spam or unsolicited bulk communications in violation of applicable anti-spam, telemarketing, or data-protection law.

→Attribution. A referral is attributed to the Inviter whose Referral Code or Referral Link was used by the Invitee at the time of Account registration. Where multiple codes or links have been used, the most recent at the time of registration controls. Attribution is final. KOSH may refuse, reject, or void any registration, referral, or Reward where it determines, in its sole and reasonable discretion, that it does not satisfy these Referral Terms or the KOSH Agreements.

4. Reward Structure

→Per-referral Reward. Subject to Sections 4 and 5, KOSH will credit Rewards in KoshCash upon an Invitee's completion of a Qualifying Transaction:

→Additional reward types. KOSH may, from time to time and in its sole discretion, introduce additional reward types under the Program, including milestone bonuses, time-limited promotions, seasonal campaigns, or tiered rewards. Any such reward type will be announced within the Services or by other reasonable means and will be governed by these Referral Terms together with any supplemental terms KOSH publishes at the time of announcement. Eligibility, amounts, conditions, and duration are determined by KOSH.

→Form. All Rewards are issued exclusively in KoshCash. KoshCash is an internal loyalty unit and is not denominated in, pegged to, or convertible to any fiat currency or cryptocurrency. The numeric value of a Reward (for example, "5 KoshCash") is a unit count within the Program and does not represent any cash, monetary, exchange, or redemption value. Rewards are not redeemable for fiat currency, cryptocurrency, securities, or other tangible value, except as and to the extent KOSH expressly enables redemption mechanics in accordance with Section 6.

→Crediting. KoshCash is credited to the recipient's Account in KOSH's records typically within seventy-two (72) hours of the Qualifying Transaction. Crediting times are estimates and are not guaranteed; security verifications and ordinary operational delays may extend the period.

→Expiration of unfulfilled referrals. A referral expires automatically and without notice if no Qualifying Transaction occurs within ninety (90) days of the Invitee's Account registration. Expired referrals do not give rise to any Reward.

→Caps. KOSH does not currently impose a cap on the number of Invitees per Inviter or on aggregate Rewards. KOSH may, at any time and in its sole and reasonable discretion, impose caps, thresholds, cool-down periods, or per-channel limits, including retroactively in respect of suspected abuse.

→Taxes. Inviters and Invitees are solely responsible for any taxes, duties, levies, or governmental charges arising from receipt or use of Rewards. KOSH may, where required by applicable law, request additional tax information, report Rewards to competent tax authorities, withhold amounts from Rewards, or condition continued participation on satisfaction of such requirements. Information provided in connection with the Program does not constitute tax advice; You should consult a qualified professional.

5. Conditions, Anti-fraud, and Forfeiture

→Account standing. A Reward will not be credited if, at the time of crediting, the recipient's Account is suspended, frozen, under investigation, or otherwise not in good standing under the KOSH Agreements.

→Anti-fraud and abuse. The Program is intended for genuine person-to-person referrals between Inviters and Invitees who are not under common control. KOSH may, in its sole and reasonable discretion, withhold, void, reverse, or claw back Rewards where it has a reasonable basis to suspect (a) self-dealing, (b) automated, scripted, or coordinated registrations, (c) stolen, synthetic, or false identity information, (d) stolen or unauthorized payment instruments to fund Qualifying Transactions, (e) circumvention of geographical, jurisdictional, or eligibility restrictions, (f) collusion among Inviters and Invitees, (g) layered or recycled funds intended principally to trigger Rewards, or (h) any other conduct contrary to these Referral Terms or to applicable law. KOSH's determinations under this Section 5.2 are final, subject to a right of internal review on written request to the address in Section 11.

→Clawback and offset. Where Rewards have been credited but are subsequently determined by KOSH to have been improperly accrued, KOSH may (a) debit, reverse, or cancel the corresponding KoshCash from the recipient's Account, (b) offset against future Rewards, or (c) set off the value against any other amounts owed by KOSH to You, in each case without further notice. KOSH reserves all other rights at law and in equity.

→No purchase necessary; communications consent. Participation in the Program does not require any purchase or payment beyond the cost of using the Services in the ordinary course; Rewards are gratuitous incentives and not consideration for any specific act or service. By participating, You confirm that You have obtained any consents required under applicable law to share Referral Links and Referral Codes with the persons to whom You send them. KOSH is not responsible for unsolicited or non-compliant communications sent by Inviters.

6. KoshCash: Nature, Use, and Redemption

→Account-bound and non-transferable. KoshCash is bound to the recipient's Account and is non-transferable. Holders may not transfer, sell, gift, lend, pledge, assign, or otherwise alienate KoshCash to any other person or Account.

→Not a financial instrument. KoshCash is not legal tender, fiat currency, e-money, stored value, a security, an investment contract, a derivative, a commodity, a deposit, or a payment instrument. KoshCash carries no monetary value, no entitlement to interest, dividend, yield, or appreciation, and gives rise to no claim against KOSH or any of its affiliates, partners, or service providers, except as expressly set out in these Referral Terms or the KOSH Agreements.

→Redemption. As of the Effective Date, redemption of KoshCash is not available. KOSH currently expects, but does not guarantee, that redemption mechanics will be introduced in a subsequent phase of the Program. Any future redemption will be subject to additional terms (including conversion ratios, eligibility, and operational conditions) published at the time of release. Until KOSH expressly enables redemption, KoshCash has no redemption value.

→Closure of Program or Account. If the Program is terminated under Section 9, or if Your Account is closed under the KOSH Agreements (whether by You or by KOSH for cause), unredeemed KoshCash balances may be forfeited. KOSH will provide reasonable notice of Program termination where practicable.

→Records. KoshCash balances are maintained in KOSH's internal records, which are the authoritative source. KoshCash is not issued, recorded, or transferable on any public blockchain or distributed ledger. Statements of balance shown within the Services are subject to correction by KOSH.

7. Intellectual Property and Privacy

→Limited license. KOSH grants each Inviter a limited, revocable, non-exclusive, non-transferable, royalty-free license, during the period of Program participation, to share the Inviter's Referral Code and Referral Link, and to use KOSH brand assets expressly designated by KOSH as approved for Program promotion, solely for inviting Invitees in accordance with these Referral Terms. The license does not authorize Inviters to (a) modify KOSH's brand assets, (b) imply endorsement, sponsorship, or affiliation beyond participation in the Program, (c) use KOSH's brand assets in any context that could reasonably bring KOSH into disrepute, or (d) register, use, or attempt to register any domain name, social media handle, trademark, or business name incorporating "KOSH," "Copperx," or any confusingly similar identifier. All right, title, and interest in and to the Services, the Program, KoshCash, and KOSH's brands and other intellectual property remain the exclusive property of KOSH and its licensors.

→Privacy. Personal data processed in connection with the Program is processed in accordance with the KOSH Privacy Policy, incorporated herein by reference. Where an Inviter provides personal information about an Invitee to KOSH (for example, by entering an Invitee's email address into a share flow), the Inviter represents and warrants that they have a lawful basis to do so, and shall indemnify KOSH against any claim arising from a breach of this representation.

8. Modifications

→Right to modify. KOSH reserves the right to modify these Referral Terms or any aspect of the Program (including Reward amounts, additional reward types, eligibility, expiration periods, qualifying conditions, Restricted Jurisdictions, or available redemption mechanics) at any time, in its sole and reasonable discretion.

→Notice and effective date. Material modifications will take effect no earlier than fourteen (14) days after KOSH posts the updated Referral Terms within the Services or otherwise notifies You by reasonable means. Non-material modifications and modifications required by law, regulation, or to address a security or fraud concern may take effect immediately. Your continued participation after the effective date of any modification constitutes Your acceptance.

→No retroactive change to accrued Rewards. A modification will not retroactively reduce Rewards already credited to Your Account in accordance with the version of these Referral Terms in force at the time of crediting, except as expressly permitted by Section 5.3 (clawback).

9. Suspension and Termination

→Of Your participation. KOSH may suspend or terminate Your participation in the Program, with or without notice, where (a) You breach these Referral Terms or the KOSH Agreements, (b) KOSH reasonably suspects fraud, abuse, or unlawful activity, (c) continued participation would be inconsistent with applicable law or regulatory guidance, or (d) Your Account is closed.

→Of the Program. KOSH may modify, suspend, or terminate the Program in whole or in part at any time. Termination of the Program does not terminate the KOSH Agreements.

→Survival. Sections 1, 5.3, 6.4, 7, 10, and 11 survive any termination of these Referral Terms or the Program.

10. Incorporated Terms

All provisions relating to disclaimers, limitation of liability, indemnification, governing law, dispute resolution, sanctions compliance, anti-money laundering compliance, and general miscellaneous provisions are governed by the KOSH Terms of Service and are incorporated into these Referral Terms by reference.

11. Notices

Notices to You will be sent to the email address associated with Your Account or made available within the Services.

12. General

→Entire agreement. These Referral Terms, together with the KOSH Agreements, constitute the entire agreement between You and KOSH in respect of the Program and supersede all prior or contemporaneous understandings, written or oral, on the subject.

By participating in the KOSH Referral Program, You acknowledge that You have read, understood, and agree to be bound by these Referral Terms.
